David Easdown is a Partner and Head of Corporate at JMW. JMW’s Corporate team who specialises in corporate transactions. He has worked with many of the region’s best-known owner-managed and private equity-backed businesses. David is known for his pragmatic and collaborative approach to corporate transactions at all levels of complexity, and has nearly two decades of experience across many sectors, with a particular focus on high-growth and technology-focused businesses.

David's clients include development capital funders, family offices, owner-managed businesses and management teams receiving private equity investment ahead of executing buy-and-build strategies.

His experiences include:

  • Advising DJH Mitten Clarke Group on its investment by Tenzing Private Equity in late 2022 and subsequent acquisition of six businesses in 2023.
  • Advising WJ Group on its investment by THI in 2020 and subsequent acquisition of a number of the UK’s leading independent roadmarking businesses.
  • Advising Cohens Chemist on over 100 acquisitions since 2005.

Lavatech

JMW advised the majority sellers of Lavatech Limited on its sale to Access UK Ltd. Lavatech, a legal software provider known for its inCase application, supports thousands of legal professionals with client onboarding and digital signatures. The transaction involved a complex earn-out structure tied to recurring revenue, with JMW ensuring that the terms were fair and achievable for the sellers.

JMW also managed negotiations involving minority sellers, including a PE-backed entity, and coordinated escrow arrangements for software components, demonstrating their expertise in handling intricate tech sector deals.

Perspective Financial Group Limited

JMW has acted for Perspective Financial Group Limited (PFGL) on 11 acquisitions since early 2023, supporting its PE-backed buy and build strategy. These transactions, ranging from £1 million to £8.5 million, involve share and business acquisitions, as well as client list purchases. Each deal includes a conditional contract with FCA approval and earn-out structures tied to recurring income, some extending up to five years.

JMW has also developed standard documentation and a contract management system, and provided a secondee to streamline the transaction process and assist with internal deal management.

JD Sports

JMW advised JD Sports Fashion on the sale of its majority shareholding in 80s Casual Classics to Neil Primett, the minority shareholder and original founder. The deal involved a consideration structure of cash and deferred payments, with the added complexity of anti-embarrassment provisions to protect JD Sports' interests.

EA-RS Group

JMW acted for EA-RS Group in its acquisition of Bonnells Electrical Contractors Limited, marking the firm's second transaction for EA-RS as it pursues consolidation in the UK fire and security market. The deal involved a complex earn-out structure and a consultancy agreement for one of the sellers, both of which required detailed negotiations. Despite the transaction's complexity and a tight completion timeline, JMW successfully navigated the challenges and ensured the deal aligned with EA-RS's strategic objectives.

Eurofins

JMW acted for Eurofins Sensory and Consumer Research UK Holding Limited in acquiring Charisa Limited, which owned Product Perceptions Limited. The transaction involved the management team exercising share options immediately prior to completion, with the shares then sold to the buyer under a share purchase agreement. This strategic acquisition allowed Eurofins to integrate a well-established business in a similar sector, and positioned it for future growth and expansion.
